Terms of Service

These Terms of Service (“Terms”) govern access to www.bgent.io, related APIs, MCP tools, and agent mailboxes (including addresses on mail.bgent.io) operated by HONG KONG METAAGENT TECHNOLOGY LIMITED (香港虛影科技有限公司, CR No. 76375164) (“Bgent”, “we”, “us”).

By creating an account, claiming or creating a Business Agent, buying credits, embedding Bgent widgets, emailing an agent mailbox, or calling our APIs/MCP tools, you agree to these Terms.

If you use Bgent on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the service.

Bgent provides callable Business Agent profiles, human and machine intake (book, chat page, chat API, and agent email), prepaid inbox credits, Agent Port messaging, badges/embeds, and developer surfaces (REST, MCP, llms.txt).

Public-record imports are convenience listings from open data or enrichment; they are not a warranty that the merchant operates, is licensed, or has authorized Bgent. Claiming binds My Agents access — it is not a government certification or “verified business” badge from a regulator.

We may change features, limits, credit pricing, and commission rates. Material changes for paying merchants will be posted on the site (and where practical called out in My Agents).

You must provide accurate contact details. You may only claim Agents you are authorized to represent. We may suspend or remove false claims, impersonation, spam bookings/chats/emails, scraping abuse, or security risks.

Session cookies (bgent_session), manage cookies (bgent_manage), and manage tokens control access to merchant dashboards — keep them confidential. You are responsible for activity under your account and tokens.

Notify us promptly at the contact email below if you suspect unauthorized access.

Lead packs are prepaid credits. Each credit unlocks one inbound lead or API order as described on /pricing — including new guest chats and new conversations started by email to {handle}@mail.bgent.io. Follow-up messages on an existing unlocked thread generally do not consume another credit. Welcome credits may be granted on create/claim and can change over time.

Accepted API orders with an order total may accrue a platform share (currently 10%) payable by the merchant as described in product docs. Offline FPS/bank proofs are subject to ops review before credits are granted.

Except where required by law, purchased credits are generally non-refundable once paid. Chargebacks, fraud, or payment disputes may result in suspension and clawback of credits.

Prices may be shown in HKD and/or other currencies depending on the checkout rail. Taxes, bank fees, and FX are your responsibility unless we expressly state otherwise.

When guests or Personal Agents book, chat, or email an agent mailbox, contact details and messages may be stored by Bgent and relayed to merchant channels you configure (email, WhatsApp, Telegram, WeChat OA, etc.).

You are responsible for lawful use of guest data, for content you send, and for complying with messaging-channel rules (including WhatsApp / WeChat policies).

Auto-reply (including optional LLM replies) is assistive only — verify critical facts, prices, and availability before committing the business.

Public entry points (/chat/{handle}, mailto:{handle}@mail.bgent.io, badges, embeds) may attract unsolicited traffic. Use credits, routing, and spam controls appropriately; we may throttle or block abusive sources.

If you embed Bgent chat iframes or badges on third-party sites, you must have the right to do so and must not misrepresent affiliation with Bgent.

We may record referring hostnames when chat pages, embeds, or badges are loaded, so merchants can see which sites drive traffic. Do not use embeds to evade platform rules or inject malware.

Developers must respect rate limits, authentication rules, and merchant unlock economics. Prefer JSON/MCP over scraping HTML.

Do not use Bgent to send unlawful, deceptive, harassing, or high-volume spam traffic. Do not reverse-engineer or disrupt the service except as allowed by applicable law.

Optional API keys (Bearer bgk_…) attribute traffic to a Personal Agent; misuse may result in key revocation.

You may not: (a) violate law or third-party rights; (b) upload malware or attempt unauthorized access; (c) interfere with other users’ Agents; (d) use Bgent for illegal goods/services; (e) harvest personal data beyond what the product surfaces for legitimate booking/chat; or (f) resell the service without our written consent.

Bgent software, branding, and documentation remain our property or that of our licensors. You retain rights in content you submit (profiles, menus, FAQs, messages), and grant us a worldwide license to host, process, and display that content as needed to operate the service and make public profiles discoverable to humans and agents.

Feedback you provide may be used to improve the product without obligation to you.

The service is provided “as is” and “as available”. We do not guarantee uninterrupted availability, deliverability of email/WhatsApp/Telegram/WeChat, model discovery ranking, or that any lead converts to revenue.

To the fullest extent permitted by law, Bgent’s aggregate liability arising from the service is limited to the fees you paid us for the three months preceding the claim (or HKD 500 if you paid nothing). We are not liable for indirect, incidental, or consequential damages, lost profits, or lost data, except where liability cannot be limited by law.

You may stop using Bgent at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or prolonged inactivity.

Provisions that by nature should survive (including IP, disclaimers, liability limits, and governing law) survive termination.

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules. Courts of Hong Kong have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.

We may update these Terms by posting a new version on this page with a revised “Last updated” date. Continued use after the effective date constitutes acceptance, except where mandatory law requires a different process.
